Corporate & Commercial

We help founders and established businesses with company set-up, contracts and compliance. The work ranges from registering a company and drafting its first agreements to advising boards on transactions and regulatory obligations.

Founders registering a first company, established businesses signing supply or distribution deals, boards facing a filing or a transaction, and investors coming into Ghana who need a local structure that holds up.

What we do

  • Company registration and constitutional documents: Incorporation with the Registrar of Companies, the constitution, the first board and shareholder resolutions, and the registrations that follow with the revenue and social security authorities.
  • Shareholder, partnership and joint-venture agreements: The document that decides what happens when partners disagree, one leaves, or the company needs money: decision rights, transfers, exits and deadlock.
  • Commercial contracts: Supply, distribution, service and agency agreements, drafted or reviewed so the risk sits where the price says it does.
  • Regulatory filings and compliance: Annual returns, beneficial-ownership disclosures, licence renewals and the sector rules that apply to your business, kept on a calendar so nothing lapses.
  • Mergers, acquisitions and restructuring: Due diligence, sale and purchase agreements, and the approvals a deal needs, for buyers and sellers alike.

How a matter usually runs

  1. A short call about the business: What you do, who owns it, what you are trying to achieve, and the deadline if there is one.
  2. A written scope and fee: One page setting out the documents we will prepare or review, the steps, and the cost of each, before any work starts.
  3. Drafting and review: We draft, you comment, we revise. Most agreements settle in two rounds.
  4. Signing and filings: We manage execution and any registration or filing, and hand over a signed set with a note of what happens next.

What to bring

  • Certificate of incorporation and constitution, if the company already exists
  • Details of shareholders and directors
  • Any existing agreement, term sheet or heads of terms
  • Correspondence with the other side
  • Licences and regulatory approvals that apply to the business

Common questions

How long does it take to register a company in Ghana?

The Registrar's part usually takes a few working days once the papers are complete. The delays come from missing details: directors' identification, the registered address, and the business objects. We check all of it before filing.

Do I need a shareholders' agreement if the company has a constitution?

The constitution is public and general. A shareholders' agreement is private and specific, and it covers what the constitution does not, such as what happens when one founder stops contributing.

Can you review a contract the other side drafted?

Yes. A review comes back as a marked-up copy and a short note in plain language on what to push back on and what to accept.

Do you work with foreign investors?

Yes. We advise on the structure, the registrations that apply to foreign participation, and the local documents an investor needs, working alongside any advisers abroad.
